General Overview of Great Recruiters’ Terms of Use
Organizations may have executed a Software as a Service Agreement (“SaaS”) with Great Recruiters which governs such firm’s use of the services on the Great Recruiters Platform.
For all users, including without limitation employees, contractors, and agents of client firms who are provided access to the Platform under a SaaS agreement with Great Recruiters, by accessing greatrecruiters.com or using any of the services on the Great Recruiters Platform, you hereby acknowledge and agree to each of the provisions detailed in the Terms below:
If you are accessing the Services under a valid subscription provided by Great Recruiters, the Services and your access are licensed to you, not sold to you. You may not use the Services for any other purpose or manner except as provided in these Terms or an applicable SaaS with a Client organization;
Access and the Services are provided “as is” without warranties of any kind whatsoever, and Great Recruiters’ liability to you is very limited;
Client organizations are solely responsible for exporting their data and related User Content before the termination date of their applicable SaaS Agreement, unless otherwise expressly agreed; and
Any disputes arising from or related to any user’s access or usage of the services provided hereunder will be resolved by binding arbitration. Further, by accessing the website you accept these terms which include your waiver to a trial by jury and to participate in a class-action lawsuit. You agree to give up your right to seek redress or defend your rights in court as provided in these Terms. You understand and agree that a neutral arbitrator, not a judge or jury, shall determine the parties’ rights. Your claim against Great Recruiters, its officers, directors, agents, and employees cannot be brought in court or as a member of any class action. Please review the agreement provisions requiring both parties to arbitrate in the Terms below for specific details regarding our mutual agreement in this respect.
Terms of Use
These Terms of Use (“Terms”) govern your use of greatrecruiter.com (“Great Recruiters’ website”), the Great Recruiters Platform, any mobile application or web apps associated with the platform, and any other resources provided by Great Recruiters in connection with Great Recruiters’ services (collectively, the “GR Network”). Great Recruiters, LLC., is a Michigan limited liability company (herein referred to as “Great Recruiters” “us,” “we” and “our”). The GR Network is intended for use by individual recruiters, job candidates, and organizations that access the website, either under a license granted to a Client organization (a.k.a. “SaaS”), invitation or independently to provide a review or comment regarding a recruiter or Client firm on the GR Network. Licensee(s) of the GR Network under an applicable SaaS agreement may be referred to herein as “Client(s).”
The data and information available on Great Recruiters’ website are for job candidates seeking capable recruiters to market their skills to hiring managers or perhaps to review recruiters and staffing firms with whom such candidate has had meaningful interaction during their job search. Job candidates may use the Great Recruiters’ website and related resources to research, interface, and review staffing firms and individual recruiters. The collective resources and services available to job candidates, hiring managers,
and Clients on the Great Recruiters’ website and other sources shall be referred to herein as the “GR Network” or “Services” as applicable.
The GR Network is not a “stand–alone” application. Public users may only access the basic information on the public web pages and may not access or download all necessary data or component information on the GR network unless authorized by a Client or with Great Recruiters’ approval of their registration upon acceptance of these Terms.
Registration, the entry of any personal information (e.g., name, email), and any documents, reviews, or responses to inquiries may create a user profile that the specified Client can rely upon to manage its relationship with job candidates, hiring managers, and other people involved in the process. If you indicate that such information should be anonymous, Great Recruiters will maintain such anonymity in accordance with these Terms.
These Terms govern all users who access the GR Network and create a binding legal agreement that we may enforce in the event of a violation of these Terms. By accessing the website or any part of the GR Network, you agree to these Terms, regardless of whether you are a “registered” user or not. These Terms govern your use of Great Recruiters’ website and the GR Network. If you do not agree to every provision of these Terms, do not use the GR Network and leave the website immediately.
Candidate and Reviewer Profile Registration
To match job candidates with a recruiter or staffing firm or otherwise submit a review, you may provide us with your name, email address, and other data relevant to using the GR Network in your job search (“Registration Information”). You may select a username and password that will be associated with your registration. You represent and agree that your Registration Information is true, accurate, current, and complete at the time that you provide it to Great Recruiters. You agree to promptly update your Registration Information if necessary or requested so that it continues to be true, accurate, current, and complete. We reserve the right, for ourselves and our Clients, to verify the accuracy of the Registration Information you have provided and unilaterally update it, as necessary. You are solely responsible for maintaining the confidentiality and security of your account username and password, and you may not permit another person to use your username and password to access the Services. You are responsible for all activity that occurs under your account. If you believe that the security of your account information has been compromised, you must immediately change your username and password through the account settings feature and notify us, and we will assist you as necessary. Great Recruiters shall have no liability for unauthorized access to or use of your account information.
Use of the GR Network
The GR Network is intended to assist recruiting and staffing firms in managing their relationships with both job candidates and hiring managers by gathering reviews and performance data from job search and placement activities. By using the GR Network, you hereby represent and warrant that you have provided accurate and true information and have the capacity to abide by these Terms.
Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non- transferable, and a non-sublicensable license to access the GR Network, view the information and materials made available through the platform, and create User Content (as defined below), solely for the purposes detailed herein. You shall not use, copy, adapt, modify, prepare derivative works based
upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit any information, code, or data contained on the GR Network, except as expressly permitted in these Terms, or as otherwise authorized by Great Recruiters in writing. As applicable, all rights not expressly granted herein are reserved for Great Recruiters.
The GR Network may contain links to Client or third-party websites or other resources which are not part of the GR Network. You acknowledge and agree that we are not responsible or liable for these websites and resources, including, without limitation, their availability or the content and information that they provide. The inclusion in the GR Network as third-party resources, including links to third-party websites, does not imply our endorsement of these resources nor the accuracy of the information therein.
You acknowledge and agree that you will not engage in any of the following activities in connection with your access or use of any component of the GR Network:

Forge headers, data, graphic, or otherwise manipulate identifiers to disguise the origin of any content transmitted through the GR Network;

Use, display, mirror, or frame the Great Recruiters website, data thereon, or any GR Network app, or any component thereof, or Great Recruiters trademark, logo, or other proprietary information and data, without the written consent of Great Recruiters;

Copy or remove any copyright, trademark, or other proprietary rights notices contained within the GR Network, including those of Great Recruiters and any of its respective licensors or Clients;

Infringe or use any Great Recruiters brands, logos, trademarks, or any other proprietary marks in any business name, email, URL, or another context unless expressly approved in writing by Great Recruiters;

Attempt to circumvent any protective technological measure associated with the GR Network;
-
Attempt to access or search any GR Network database or any content contained therein through the use of any engine, software, tool, agent, device, or mechanism (including scripts, bots, spiders, scraper, crawlers, data mining tools, or the like) other than through software generally available through web browsers;

Post, upload, transmit, or otherwise distribute unsolicited communications or spam;

Impersonate or misrepresent your affiliation with another person, company, or entity;

Harvest, scape, or otherwise collect information about the GR Network, other users of the GR Network, or Great Recruiters’ intellectual property, including business practices, trade secrets, email addresses or personal information;

Interfere with or disrupt any of the Services or the associated computer or technical delivery systems on the GR Network;
-
Interfere with, or attempt to interfere with, the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing any Great Recruiters website or the GR Network;

Fail to respect another user’s privacy. This includes revealing another user’s password, phone number, address, instant messenger I.D. or address, or any other personally identifiable information;

Use any Great Recruiters property, the GR Network, or any Great Recruiters’ content or data in any manner not permitted by these Terms; or
-
Copy, replicate, or otherwise use any of the GR Network or the Services to replicate, duplicate, or reverse engineer any of the GR Network or Services to create a competing product, service, or platform for private or commercial use.
We have the right, expressly hereby granted by you (but we are not obligated), to do any or all of the following without notice:

Record or pre-screen User Content or data submissions to public areas within the GR Network;

Investigate your use of the GR Network as we deem appropriate to comply with applicable law, regulations, or upon any valid government request or legal process;

Remove any content whatsoever that we believe does not comply with these Terms or endangers any person, group, or organization;
-
Terminate your access to the GR Network upon our determination that you have violated these Terms;
-
Delete or block any content on the GR Network that we feel is inappropriate or illegal, in our sole discretion; and
-
Disclose your user profile and information to our Clients in connection with your registration and request to join the GR Network.
Content that Users Make Available through the Services
The GR Network enables users to submit information including without limitation text, images, photographs, reviews, responses to questionnaires, registration information, figures, charts, graphics, reports, data, and sound (“User Content”). You shall retain ownership and rights to User Content. You are solely responsible for all User Content that you post or submit through the GR Network. By using the GR Network and its interactive features, you agree to comply with the platform rules and general code of decency and professionalism applicable under the circumstances.
When you submit User Content on or through the GR Network you automatically grant us a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, fully paid up, transferable, sub-licensable (through multiple tiers) license to distribute, transmit, copy, host, excerpt, index, tag, modify, adapt, transfer, create derivative works from, and otherwise use and exploit such User Content, both within and outside of the GR Network for any purpose that is consistent with the purpose of the GR Network. You agree that you are solely responsible for all User Content submitted by you to the GR Network. You represent
and warrant that you either are the sole and exclusive owner of all such User Content or you have all rights, licenses, consents, and releases that are necessary to grant to us the rights in such User Content as specified in these Terms so that we can provide the Services contemplated in using the GR Network. Nothing in these Terms shall convey any right to use any Great Recruiters’ intellectual property, including without limitation, Great Recruiters trademarks, copyrights, trade secrets, licenses granted hereunder, or other intellectual property.
You are solely responsible for ensuring that the User Content you create and make available on the GR Network is truthful and complies with all applicable laws. You fully understand that the GR Network and Great Recruiters’ Clients may and will rely upon the User Content that you provide as being honest and useful for the purposes of the GR Network. You are responsible for all claims arising from your failure to provide accurate User Content in accordance with these terms.
You agree that you will not use the GR Network to submit or publish User Content that:

you do not have the right to make available under any contractual or fiduciary agreement or applicable law or regulation;
-
infringes, misappropriates, or violates Great Recruiters’ or any third party’s patent, copyright, trademark, trade secret, moral rights or any other intellectual property rights, or rights of publicity, confidentiality, or privacy;
-
results in the violation of any applicable law or regulation, including, but not limited to, the Health Insurance Portability and Accountability Act (HIPAA) or any other applicable privacy laws;
-
is unlawful, harmful, obscene, defamatory, threatening, harassing, abusive, slanderous, offensive, or embarrassing to any other person or entity;
-
promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group;
-
promotes illegal activity;
-
is fraudulent, false, misleading, or deceptive;
-
constitutes an advertisement or solicitation of business; or
-
contains viruses or other harmful computer code designed to interrupt, destroy or limit the use of any computer software or hardware.
Proprietary Rights
You acknowledge and agree that the GR Network and any software used in connection with the GR Network (“Software”) contain proprietary and confidential information that is protected by U.S. and international intellectual property and copyright laws. You further acknowledge and agree that the GR Network, its applications, trademarks, and the content therein are protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws. Except as expressly permitted by applicable law or as authorized by Great Recruiters or the duly authorized licensor, you agree not to modify, rent, lease, loan, sell, distribute, transmit, exploit, copy, broadcast, publicly perform, create derivative works from, or “scrape” for commercial or any other purpose, the GR Network, any content therein, or the
Software, in whole or in part. Any use of the GR Network, or any content therein, not expressly permitted by these Terms is a material breach of these Terms and may violate Great Recruiters’ or any third party’s intellectual property rights.
You may view your personal information and User Content that you provided through GR Network. You may only download your User Content, which does not terminate or otherwise affect the above license granted Great Recruiters after termination, download, or deletion of such content. You may not remove any copyright notices from Great Recruiters’ materials or intellectual property. You agree not to access the GR Network by any means other than through the interface that is provided by Great Recruiters.
Privacy Policy
The Great Recruiters’ Privacy Policy, located at https://www.greatrecruiters.com/privacy-policy-2/ provides information about our collection, use, and disclosure of information on the GR Network and its Users. By accessing the GR Network, you acknowledge that you have read the Great Recruiters’ Privacy Policy.
Laws that Govern this Agreement
Great Recruiters controls those aspects of the Services made available through the GR Network from our Michigan office in the United States of America. By accessing the Services and using the GR Network, you agree that the statutes and laws of the state of Michigan, without regard to its choice of laws principles, will apply to all matters relating to your access to and use of the GR Network and all the Services.
Termination and Modification
You hereby expressly agree that Great Recruiters may, in its sole discretion and without prior notice, discontinue, either temporarily or permanently, the GR Network (or any part thereof) or eliminate your registration and remove User Content that you have made available through the GR Network, with or without notice, for any reason, including without limitation, any of the following reasons: (a) breaches or violations of these Terms or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) at your request, (d) discontinuance or material modification to the services contemplated by the GR Network (or any part thereof), (e) technical or security issues or problems, (f) extended periods of inactivity, and/or (g) your engagement in fraudulent or illegal activities. You agree that all terminations for cause shall be made at our sole discretion, and we shall not be liable to you or any third party for any termination of your account or access to the Services.
Disclaimer
UNLESS EXPRESSLY PROVIDED HEREIN, THE GR NETWORK, THE SERVICES, AND ALL GREAT RECRUITERS’ CONTENT AND USER CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE PRECEDING, WE EXPRESSLY DISCLAIM ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF THE COURSE OF DEALING OR USAGE OF TRADE. WE MAKE NO WARRANTY THAT THE GR NETWORK, THE SERVICES CONTEMPLATED HEREUNDER, OR THE GREAT RECRUITERS’ CONTENT OR USER CONTENT WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE
BASIS. WE MAKE NO WARRANTY AS TO THE ACCURACY, TIMELINESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED ON OR THROUGH THE GR NETWORK. NO INFORMATION PROVIDED THROUGH THE GR NETWORK OR BY GREAT RECRUITERS IN ORAL OR WRITTEN FORM WILL CREATE ANY WARRANTY NOT OTHERWISE EXPRESSLY MADE HEREIN. YOUR RELIANCE UPON THE CONTENT OBTAINED OR USED BY YOU THROUGH THE GR NETWORK IS SOLELY AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE GR NETWORK.
Liability
In no event will Great Recruiters, our respective directors, officers, employees, contractors, agents, sponsors, licensors, or any other person or entity involved in creating, developing or delivering the GR Network, including without limitation User Content, the Services contemplated herein, or the Great Recruiters’ Content, be liable for any damages (including, without limitation, incidental and consequential damages, personal injury/wrongful death, lost profits, or damages resulting from lost data or business interruption) arising out of or in connection with these Terms or from the use of or inability to access or use the GR Network, the services contemplated herein, or the Great Recruiters’ Content, or from any communications or interactions with other persons with whom you communicate or interact as a result of your use of the GR Network, whether based on warranty, contract, tort, or any other legal theory, and whether or not we, our licensors, ours suppliers, or any third parties mentioned or displayed on the GR Network are advised of the possibility of such damages. We, our licensors, our suppliers, or any third parties contributing to the delivery of the Services shall not be liable for any personal injury, including death, caused by your use or misuse of the GR Network or any information provided through the GR Network. Any claims arising in connection with your use of the GR Network or Services must be brought within one (1) year of the date of the occurrence of the events giving rise to such cause of action. Remedies under these Terms are exclusive and are hereby limited to those remedies expressly provided for in these Terms. The limitations of damages set forth above are fundamental to these Terms and a material element comprising the basis of the agreement between you and Great Recruiters.
Indemnity
You agree to defend, indemnify and hold harmless Great Recruiters, its corporate affiliates, independent contractors, service providers and consultants, and each of their respective directors, employees and agents, from and against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys’ fees) arising out of or related to any User Content you post, store or otherwise transmit on or through the Services or your use of or inability to use the Services, including without limitation any actual or threatened suit, demand, or claim arising out of or relating to such User Content, your conduct, your violation of these Terms or your violation of the rights of any third party.
Modifications
At our sole discretion, Great Recruiters reserves the right to modify, discontinue, or terminate the GR Network or Services, any User Content, and these Terms at any time and without prior notice. However, if we materially modify these Terms, we shall provide notice of such modification within the GR Network at the email address that you provided. By continuing to access or use the Services after we have modified these Terms, you hereby agree to be bound by such modified Terms. If the modified Terms are
not acceptable to you, you agree to immediately stop using the GR Network and provide notice of rejection of such modified Terms.
Complete Agreement
Except as expressly provided in a particular “legal notice” on the GR Network, these Terms (including your acknowledgment of the Great Recruiters Privacy Policy) constitute the entire understanding between you and Great Recruiters with respect to the access and use (and any prior use, as applicable) of the GR Network, the Services, User Content, and Great Recruiters’ Content.
These Terms constitute the entire and exclusive understanding and agreement between Great Recruiters and you regarding the use of the GR Network. These Terms supersede and replace all prior oral or written understandings or agreements between Great Recruiters and you regarding the use of the GR Network and the Services.
Assignment
You may not assign or transfer these Terms or your registration, by operation of law or otherwise, without Great Recruiters’ prior written consent. Any attempt by you to assign or transfer these Terms without such consent shall be null and void and of no legal effect. We may assign or transfer these Terms, at our sole discretion, without restriction. Subject to the preceding, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
Mutual Agreement to Arbitrate
In the interest of resolving disputes arising from these Terms or the relationship between Great Recruiters, Clients, and you in a practical and cost-effective manner, you and Great Recruiters each agree that all disputes arising in connection with the use of the GR Network or Services related to these Terms will be resolved by binding arbitration. Such arbitration can be more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, may allow for more limited discovery than in court and is subject to very limited review by courts. Arbitrators can generally award the same damages and relief that a court may award. Our agreement to arbitrate disputes includes all claims arising out of or relating to any aspect of these Terms, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of whether a claim arises during or after the termination of this Agreement or these Terms. YOU UNDERSTAND AND EXPRESSLY AGREE THAT YOU AND GREAT RECRUITERS ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
Despite the provisions above, we agree that nothing in these Terms shall be deemed to waive, preclude, or otherwise limit the right of either party: (a) bring an individual action in small claims court or for the collection of a delinquent account exceeding ninety (90) days; (b) pursue law enforcement action through a federal, state, or local enforcement agency, if such course of action is available; (c) seek injunctive relief in court but not as a member of a class action; or (d) to file suit in court to address a specific intellectual property infringement claim.
Any arbitration action involving you and Great Recruiters under these Terms shall be governed by the Commercial Dispute Resolution Procedures and the Supplementary Procedures for Consumer-Related Disputes, as the case may be (collectively, “AAA Rules”) of the American Arbitration Association (“AAA”).
Notice and Service of Process. Any party who intends to seek arbitration must first send a written notice of the dispute to the other, by certified mail or Federal Express (signature required), or if we do not have a physical address on file for you, by electronic mail (“Notice”). Great Recruiters’ address for Notice is: Great Recruiters, Attention Office of Legal Counsel, 431 Stephenson Highway, Troy, MI 48083.
The Notice must describe the nature and basis of the claim or dispute and include the specific relief sought (“Demand”). We agree to use good faith efforts to resolve the claim before submitting the matter to arbitration; however, if Great Recruiters and the claimant do not reach a resolution within 30 days after Great Recruiters receives the Notice, then either party may commence the arbitration proceeding as provided in the applicable AAA Rules.
Location and Fees. Each party will pay its own filing costs and fees as provided in the AAA Rules. Any arbitration hearing must take place at a location to be agreed upon in Oakland County, Michigan. If the arbitrator finds that either the substance of your claim or the relief sought in the demands made are frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all fees will be governed by the AAA Rules relating to such a finding, and you agree to reimburse Great Recruiters for any monies previously disbursed by it that are otherwise your obligation to pay under the AAA Rules. Regardless of how the arbitration is conducted, the arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the preceding and upon request from either party made within 14 days of the arbitrator’s ruling on the merits.
No Class Actions. YOU AND GREAT RECRUITERS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED OR ACTUAL CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Great Recruiters otherwise agree in writing, the arbitrator may not consolidate more than one party’s claims, and such arbitrator may not otherwise preside over any form of a representative or class proceeding.
If the immediately preceding paragraph is found to be unenforceable, or if the entirety of this section related to the agreement to arbitrate is found to be unenforceable, then the entirety of this section will be null and void and, in which case, the parties agree that to the exclusive jurisdiction of the courts of Oakland County and Southeastern Michigan or the venue specified elsewhere in these Terms, which shall govern any action arising out of or related to these Terms or the Services.
Notices
Any notices or other communications permitted or required hereunder, including those regarding material modifications to these Terms, will be in a written form and given: (i) by us via email (in each case to the email address included in the applicable registration information); or (ii) by posting within or on the GR Network as permitted hereunder. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
No Waiver
Great Recruiters’ failure to enforce any right or provision in these Terms, at law, or in equity will not constitute a waiver of future enforcement of such rights or provisions. Except as expressly set forth in
these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to any other remedies under these Terms that a party may have available.
Survival
All provisions of these Terms shall survive termination of your GR Network registration except for your license to access the GR Network and use the Services, User Content, or Great Recruiters’ Content.
